1. Acceptance of Terms

These Terms of Use (“Terms”) govern your access to and use of www.orionix.uk (“Site”) and all products and services provided by Orionix Ltd (“Services”). By accessing the Site or using any Services, you confirm that you are at least 16 years old, have the legal capacity to enter a binding agreement, and accept these Terms in full. 5. User accounts

When registering for an account, you agree to provide accurate, current, and complete information; keep credentials confidential and not share them; notify us immediately of any unauthorised use at security@orionix.uk; and accept responsibility for all activity under your account. We may suspend or terminate accounts that violate these Terms or have been inactive for an extended period.

6. Intellectual property

All content on the Site and within the Services — text, graphics, logos, icons, images, audio, software, and compilations (“Content”) — is owned by Orionix Ltd or its licensors and protected by UK and international copyright, trade mark, and other IP laws. The Orionix name, logo, constellation mark, and all related product names are trade marks of Orionix Ltd. Nothing in these Terms grants you the right to use these trade marks without prior written consent.

Your content

If you submit User Content to our platform, you retain ownership but grant Orionix a worldwide, royalty-free, non-exclusive licence to use, store, and process it solely to provide the Services. You warrant that you own or have rights to submit User Content and that it does not infringe third-party rights.

7. Third-party links

The Site may contain links to third-party websites for convenience only. We do not endorse or accept responsibility for third-party content. You access third-party sites at your own risk and subject to those sites’ own terms.

8. Disclaimers

The Site and Services are provided “as is” without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or virus-free, or that information on the Site is accurate, complete, or current. Nothing on the Site constitutes legal, financial, or professional advice.

9. Limitation of liability

To the maximum extent permitted by law, Orionix Ltd and its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or goodwill. Our total liability for all claims arising out of your use of the Services shall not exceed the greater of (a) £100 or (b) the total amount paid by you to Orionix in the twelve months prior to the event giving rise to liability.

10. Indemnity

You agree to defend, indemnify, and hold harmless Orionix Ltd and its officers, directors, employees, and agents from and against any claims, liabilities, damages, costs, and fees (including reasonable legal fees) arising from your violation of these Terms or your use of the Site or Services.

11. Termination

We may suspend or terminate your access at any time, with or without cause. Provisions that by their nature should survive termination (including IP, disclaimers, indemnity, and limitations of liability) shall do so. You may terminate your account by contacting hello@orionix.uk.

12. Governing law and jurisdiction

These Terms are governed by the laws of England and Wales. Disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales. If you are an EU consumer, you may also have rights under the laws of your country of residence, and nothing in these Terms affects your statutory consumer rights.

13. Changes to these Terms

We may revise these Terms at any time. Material changes will be notified by email or prominent notice on the Site. Your continued use of the Site or Services after the effective date constitutes acceptance. If you do not accept the revised Terms, you must stop using the Site and Services.
